This Business Partner Agreement ("Agreement") supplements and is incorporated into the HomeTrust Terms of Service ("ToS"). It governs your use of the HomeTrust platform ("Platform") as a business, contractor, or service provider ("Business," "you"). Capitalized terms not defined here have the meaning given in the ToS. If this Agreement conflicts with the ToS on a matter specific to Businesses, this Agreement controls.
By creating or maintaining a Business account, you agree to this Agreement.
You are an independent business. Nothing in this Agreement or your use of the Platform creates an employment, agency, partnership, franchise, or joint-venture relationship between you and HomeTrust. Specifically:
HomeTrust does not enter into, and is not a party to, any service contract, quote, estimate, or agreement between you and a Homeowner. Any such agreement is solely between you and the Homeowner.
As between you and HomeTrust, you are solely responsible for:
HomeTrust does not review, supervise, or guarantee your compliance with the above, except as described in Section 5 (Credential Verification).
You represent and warrant, on an ongoing basis, that:
You are responsible for the accuracy of your listing and for any quote, estimate, or message you send through the Platform. Contact information you receive through the Platform (including Homeowner names, addresses, phone numbers, or messages) may be used only to respond to that Homeowner's request and to perform work you are engaged to do. You may not:
HomeTrust may display an informational Trust Score and credential-verification indicators (such as "license verified" or "insurance verified") on your profile, as described in ToS Section 7. You acknowledge that:
You may not represent to Homeowners or the public that HomeTrust "approves," "certifies," or "endorses" your business beyond the specific indicators HomeTrust displays on your profile, and you may not alter, obscure, or misrepresent your Trust Score or verification status outside the Platform.
You must maintain, at minimum, commercial general liability insurance in an amount adequate for the services you offer, and any additional coverage required by law for your trade (such as workers' compensation if you have employees). You must provide proof of insurance upon request and promptly notify HomeTrust if a policy lapses, is cancelled, or is not renewed. Failure to maintain required insurance is grounds for suspension under Section 9.
Reviews of your business are governed by the Review & Content Policy. In addition to that policy, you specifically agree not to:
Violations may result in review removal, Trust Score impact, and account suspension or termination, and may be reported as required by applicable law, including the FTC's rule on consumer reviews and testimonials.
Paid subscription tiers ("Core," "Pro," or as HomeTrust may offer from time to time) are billed as described at checkout and in your account billing settings, and are governed by ToS Section 8. Subscription fees do not entitle you to any guaranteed number of leads, quote requests, or hires.
In addition to the grounds in ToS Section 15, HomeTrust may suspend or terminate your Business account for: providing false or misleading licensing, insurance, or profile information; failure to maintain required insurance or licensure; a pattern of Homeowner complaints; review manipulation; misuse of Homeowner contact information; or any conduct that HomeTrust reasonably believes creates risk to Homeowners or the Platform. Where practicable, HomeTrust will provide notice and an opportunity to cure minor or first-time issues before suspension.
You agree to indemnify, defend, and hold harmless HomeTrust and its managers, members, officers, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising from or related to: (a) your services, including any claim by a Homeowner regarding workmanship, safety, pricing, or contract performance; (b) your breach of this Agreement or the ToS; (c) your licensing, insurance, or regulatory compliance (or failure thereof); or (d) any injury to person or property arising from your work or that of your personnel or subcontractors.
The disclaimers and limitations of liability in ToS Sections 11–12 apply to this Agreement. In particular, HomeTrust is not responsible for the acts, omissions, representations, warranties, services, products, workmanship, conduct, pricing, licensing, insurance, or performance of any Business, including you.
This Agreement remains in effect for as long as you maintain a Business account. Sections 2, 5–7, and 10–11 survive termination of your account or this Agreement.
This Agreement incorporates by reference the ToS in full, including its dispute-resolution, governing-law, and general provisions (ToS Sections 14 and 17).
